These Terms govern your use of HR Mate (the "Service"), available at hrmate.app and operated by the HR Mate team (the "Provider", "we").
By creating an account, signing in, starting a free trial or paying for a subscription, you ("Customer", "you") accept these Terms in full. If you do not accept them, do not use the Service.
These Terms apply to customers outside Russia and Belarus. Customers in Russia and Belarus contract under a separate Russian-language public offer.
Where this document is read in another language, the English version prevails in case of any discrepancy.
1. What the Service is — and what it is not
- The Service is software provided over the internet that receives applications for your job openings and produces an automated preliminary assessment of each applicant's CV against your vacancy.
- We are a software provider. We are not a recruitment agency, an employer of record, a background-check provider or an employment adviser, and we are not a party to any relationship between you and an applicant.
- We make no hiring decision of any kind. Every decision to interview, invite, reject or employ a person is made by you.
- What we owe you is access to the Service. We do not owe you any hiring, commercial or other outcome.
2. Accounts
- You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind it, and "you" means that organisation.
- You are responsible for everything that happens under your account and for keeping your credentials secure. Tell us promptly at support@hrmate.app if you believe your account has been compromised.
- One account is intended for one organisation. Sharing credentials outside your organisation is not permitted.
3. Free trial
- A new account receives a free trial of 7 days, limited to 10 automated assessments. No payment details are required.
- When the trial ends or its limit is reached, paid features stop until a subscription is purchased. Data already collected remains in your account. Applications received beyond the limit are stored and assessed once a subscription becomes active.
- We may change trial terms for new accounts. Changes do not affect a trial already in progress.
4. Subscriptions, fees and availability of payment
- The published subscription price outside Russia and Belarus is $19 per month.
- Paid subscriptions are not yet available in your region. Until they are, the Service is provided on trial terms only, and no payment is taken from you. The Service will tell you inside your account when payment becomes available.
- When paid subscriptions open, fees will be charged in advance for each period of 30 days, a new period will run from the later of the payment date and the end of the current period, and you will be able to cancel renewal from your account at any time.
- We may change prices. A new price applies to periods starting after it is published and never to a period already paid for.
- Taxes: when paid subscriptions open, the merchant of record named at checkout will be responsible for collecting any applicable VAT or sales tax.
5. Acceptable use
You agree not to use the Service to:
- publish vacancies that are discriminatory or that you have no genuine intention to fill;
- collect personal data for any purpose other than assessing a person for the vacancy they applied to;
- ask applicants for information you are not lawfully permitted to collect, including special categories of personal data;
- upload malicious code, probe or circumvent technical limits, scrape the Service, or place a load on it that interferes with other customers;
- resell, sublicense, or provide the Service to third parties as your own, or copy, modify, decompile or reverse engineer it;
- break any law that applies to you, or infringe anyone's rights.
If you breach this section we may suspend your account, and for a serious or repeated breach terminate these Terms, in each case with notice to you.
6. Applicant data: you are the controller
- As between you and us, you are the controller of the personal data of applicants who respond to your vacancies. You decide why the data is collected, what questions are asked and what happens after the assessment.
- We process that data only as your processor, on your documented instructions, which these Terms constitute, and for no purpose of our own. We do not sell applicant data and do not use it to train artificial-intelligence models.
- You are responsible for having a lawful basis for the processing, for informing applicants, for responding to their requests, for retention limits, and for compliance with the employment, equality and data-protection laws that apply to you.
- We will assist you with applicant requests we receive and with our own security obligations. Where you require a separate data processing agreement, we will enter into one on request.
- Applicant data is stored in Ireland (Dublin). The sub-processors we use are listed in our Privacy Policy.
7. Automated assessment
- Assessments are produced by machine-learning models. They are advisory, they express a program's opinion rather than a fact, and they can be wrong — models misread documents, misinterpret context and generalise.
- You must not make a decision that produces legal effects for an applicant, or similarly significantly affects them, solely on the basis of automated processing without human involvement.
- You must verify an applicant's information yourself before making any decision about them.
- We are not responsible for any decision you make with, or against, an assessment, or for its consequences.
- The assessment method — criteria, weights, the formula for the final score, de-identification rules and limitations — is published at hrmate.app/legal/scoring and forms part of the description of the Service. The software computes the final score and category with that formula, the same way for every applicant.
8. Intellectual property
- The Service, including its software, design and text, belongs to us. These Terms grant you a limited, non-exclusive, non-transferable right to use it while they are in force, and nothing more.
- Your content — your vacancies, your questions and the applicant data in your account — remains yours. You grant us the limited right to host and process it as needed to provide the Service.
- If you send us feedback, we may use it without obligation to you.
9. Disclaimer of warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free or secure against every attack, that assessments will be accurate or complete, or that the Service will meet your requirements or produce any particular result.
10. Limitation of liability
- To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost opportunities, lost or unsuccessful hires, business interruption, loss of goodwill, or loss or corruption of data.
- Our total aggregate liability arising out of or relating to the Service, on any basis of claim, is limited to the amounts you actually paid us for the Service in the twelve months before the event giving rise to the claim. Where you have paid us nothing, including during a free trial, that limit is zero.
- Each limitation applies even if a limited remedy fails of its essential purpose and even if we were advised that such damages were possible.
- Nothing in these Terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, for fraud, or liability owed to a consumer under mandatory consumer-protection law.
11. Your indemnity
You will defend, indemnify and hold us harmless from any claim, demand, proceeding, fine or loss brought by a third party — including an applicant, an employee, a competitor or a supervisory authority — arising out of your use of the Service, your vacancies and questions, your hiring decisions, your handling of applicant data, or your breach of sections 5, 6 or 7, together with reasonable legal costs.
12. Suspension, termination and data after the end
- You may stop using the Service and delete your account at any time.
- We may suspend the Service where we reasonably believe it is necessary to protect the Service, other customers or applicants, or to comply with the law, and we will tell you why.
- We may terminate these Terms on thirty days' notice, refunding any prepaid fees for the unused part of the period.
- After termination your account data, including applicant data, is deleted within the periods described in our Privacy Policy. Export what you need before you delete your account.
- Sections 6, 8, 9, 10, 11 and 14 survive termination.
13. Changes to these Terms
We may change these Terms. The current version is always on this page with its date. A change takes effect ten days after it is published and does not apply to a period already paid for. If you keep using the Service after that, you accept the change; if you do not accept it, stop using the Service and delete your account.
14. Governing law and disputes
- These Terms are governed by the law of the Russian Federation, where the Provider is established, without regard to conflict-of-law rules. This does not deprive a consumer of the protection of mandatory rules of the country where they live.
- Before starting proceedings, send us your claim in writing at support@hrmate.app. We will answer within thirty days, and most matters end there.
- If a court finds any provision unenforceable, the rest of these Terms remains in force and the provision applies to the maximum extent permitted.
